Academy Governance

An Academy Trust is a charitable company, set up to run an Academy, and it is responsible for the strategic direction of the Academy. Academy Trusts have two layers of governance – the Members of the Trust and the Governing Body (Trustees).

Members

Members are similar to shareholders and have ultimate control over the direction of the Academy Trust. They ensure the charitable company achieves its objectives and  they also appoint some of the Governors.

Governors/Trustees

The core functions of the Governing Body/Trustees, as set out in the Academy Trust Handbook are as follows:

• Strategic leadership of the Academy Trust: The Board defines the trust vision for high quality and inclusive education in line with its charitable objects. It establishes and fosters the trust’s culture and sets and champions the Trust strategy including determining what, if any, governance functions are delegated to the local tier

 • Accountability and assurance: The Board has robust effective oversight of the operations and performance of the Academy Trust, including the provision of education, pupil welfare, overseeing and ensuring appropriate use of funding and effective financial performance and keeping their estate safe and well maintained

 • Engagement: The Board has strategic oversight of relationships with stakeholders. The Board involves parents, schools and communities so that decision-making is supported by meaningful engagement.

The Trustees must apply the highest standards of conduct and ensure robust governance, as these are critical for effective financial management

The Governing Body plays an important role in guiding the school strategically in conjunction with the Headteacher and Leadership Team, with a view to providing the best possible education and educational opportunities for all of the pupils. St Mary’s. It is fortunate to have an enthusiastic and hard-working Governing Body who are committed to raising standards in the school. Governors are not expected to intervene in the day-to-day management of the school.

The Governing Body is split into committees which meet separately from the main Governing Body to discuss relevant issues in more detail. Discussion is then fed back at a Full Governing Body meeting.

The Finance Committee focuses on the delivery of the annual School Development Plan in this area, undertakes monitoring and evaluation activities against financial priorities and reports to the Governing Body as a whole.

In addition, there is an Audit and Risk team which is an advisory body with no executive powers and which makes recommendations to the Governing Body. It is the means for ensuring that there is in place, a process for the independent checking of financial controls, transactions and risks. (see Terms of Reference for the Governing Body for full details of governance structure (document attached.)

Ofsted looks closely at the contribution which the Governing Body makes to school improvement and expects governors to demonstrate a determination to secure the success and good progress of every pupil. Ofsted expects governors to be fully informed about the work of the school, to understand where it has been successful, where improvement is needed and what measures the school has put in place to achieve this.
